Refer-A-Pharmacy Program Terms & Conditions

The United Pharmacy Network (“UPN”) Refer-A-Pharmacy Program allows eligible UPN member pharmacies to receive a referral reward for referring qualifying pharmacies to UPN. The referring pharmacy and the referred pharmacy may each receive a $1,000 reward, subject to the following terms and conditions:

Referral Eligibility

• The referring pharmacy must be an eligible UPN member at the time the referral is submitted and when the referral reward becomes payable.

• The referred pharmacy must not currently be a UPN member and must not have been a UPN member within the previous 12 months.

• The referred pharmacy must not be owned by, under common ownership with, or under common control with the referring pharmacy.

• The referred pharmacy must not already be an active prospect or lead engaged in discussions regarding UPN membership with UPN, , or their representatives at the time the referral is submitted.

• The referral must be submitted to UPN before the prospective pharmacy is onboarded with UPN.

• If the same pharmacy is referred by more than one pharmacy, the first eligible referral received by UPN will receive referral credit.

Qualified Referral

A referral becomes a qualified referral when:

1. The referred pharmacy is approved by a UPN preferred wholesaler for UPN membership;

2. The referred pharmacy successfully becomes a UPN member;

3. The referred pharmacy complies with all applicable UPN Membership Terms & Conditions; and

4. The referred pharmacy meets the applicable minimum requirements set forth in the UPN Membership Agreement for 90 consecutive days.

Referral Reward

For each qualified referral, the referring pharmacy will receive $1,000, and the referred pharmacy will receive $1,000, provided all requirements of the Refer-A-Pharmacy Program have been satisfied.

There is no limit to the number of qualifying referral rewards an eligible pharmacy may earn under the program.

Referral rewards will be issued within 30 days after the referred pharmacy has satisfied the 90-day membership and minimum-requirement qualification period, subject to verification of eligibility by UPN.

Taxes and Payment Information

Recipients are responsible for any federal, state, local, or other taxes associated with referral rewards. UPN may require recipients to provide applicable tax forms, payment information, or other documentation before a referral reward can be issued.

Failure to provide requested information or documentation may delay payment.

Additional Terms

• Participation in the Refer-A-Pharmacy Program is subject to these terms and all applicable UPN Membership Terms & Conditions.

• Referral eligibility and satisfaction of program requirements are subject to verification by UPN.

• A referral reward will not be issued if the referred pharmacy fails to satisfy the program requirements, including the applicable 90-day membership and minimum-requirement period.

• UPN reserves the right to determine referral eligibility and resolve duplicate or disputed referrals in accordance with these terms.

• UPN reserves the right to modify, suspend, or discontinue the Refer-A-Pharmacy Program or change these Terms & Conditions at any time at its sole discretion. Changes will apply as determined by UPN, subject to applicable law.
